Terms of Service

By registering for, accessing, or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy, which is incorporated into these Terms by reference. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

• “Account” — the account you create to access the Service.
• “Subscription” — a paid plan that grants access to specific features for a billing period.
• “Content” — data, text, and materials available through the Service, excluding your data and YouTube data.
• “YouTube data” — information accessed from your connected channel through the YouTube API Services.
• “AI output” — text or suggestions generated for you by our AI features.

You must be at least 18 years old and capable of forming a binding contract under applicable law to use the Service. By using Vyiral, you represent and warrant that you meet these requirements.

• You agree to provide accurate, current, and complete information and to keep it up to date.
• You are responsible for maintaining the confidentiality of your credentials and for all activity under your account.
• You must notify us promptly of any unauthorized use of your account or any other breach of security.
• You are responsible for the security of the Google account you use to connect your YouTube channel.

Vyiral is a YouTube growth analytics platform that provides channel analytics, keyword research, competitor tracking, SEO scoring, AI-generated ideas and coaching, and earnings projections for creators. Features available to you depend on your Subscription plan. We may add, modify, or remove features over time.

• Vyiral offers a Free plan and paid plans (such as Basic and Pro). The Free plan provides limited features at no cost.
• Paid plans unlock additional features and higher usage limits as described on our pricing page.
• We may offer trials or promotional pricing from time to time; any special terms will be disclosed at the point of offer.

• Paid plans are billed in Indian Rupees (₹) through Razorpay. By subscribing, you authorize us to charge the applicable fees for the selected billing period.
• Unless stated otherwise, subscriptions renew automatically at the end of each billing period until cancelled.
• You can cancel auto-renewal at any time; cancellation takes effect at the end of your current billing period.
• If a payment fails, we may retry the charge or suspend access to paid features until payment is completed.
• We may change prices or plan features. We will provide reasonable notice of changes that affect you, and changes take effect on your next billing period.

Listed prices may be exclusive of applicable taxes. Where required, Goods and Services Tax (GST) or other applicable taxes will be added to your invoice. You are responsible for any taxes associated with your use of the Service, other than taxes based on our income.

Cancellations and refunds are governed by our Refund & Cancellation Policy, which forms part of these Terms.

Vyiral uses YouTube API Services. By using Vyiral, you also agree to the YouTube Terms of Service and acknowledge the Google Privacy Policy. Our access is limited to read-only scopes, and we handle YouTube data as described in our Privacy Policy. You may revoke our access at any time through your Google security settings.

Vyiral offers AI-powered features such as AI Coach, viral idea generation, SEO suggestions, and keyword insights, powered by a third-party AI provider (currently OpenAI). By using these features, you agree that:

• AI outputs are generated automatically and provided “as is.” They may be inaccurate, incomplete, or unsuitable for your situation, and are suggestions only — not professional, legal, financial, or business advice, and not guarantees of results.
• You are responsible for reviewing AI outputs before relying on or publishing them, and for ensuring your use complies with YouTube’s policies and applicable law.
• You must not use AI features to generate unlawful, infringing, deceptive, or harmful content, or in any way that violates the OpenAI Usage Policies.
• To provide these features, we send the content you submit for analysis (such as titles, descriptions, tags, and keywords) to the AI provider. We do not send your password, payment details, or access tokens.

Your use of AI features is also subject to the OpenAI Usage Policies and the OpenAI Privacy Policy. See our Privacy Policy for details on how this data is handled.

You agree not to:

• Use Vyiral for any unlawful purpose or in violation of any applicable regulations.
• Reverse engineer, decompile, scrape, or attempt to gain unauthorized access to the platform or its data.
• Resell, sublicense, redistribute, or misuse data obtained through the Service, including YouTube API data.
• Interfere with or disrupt the integrity, security, or performance of the platform.
• Use automated systems to access the Service in a manner that sends more requests than a human could reasonably produce.
• Share your account with others or circumvent plan limits or access controls.
• Upload or transmit malware, or engage in any activity that harms us, our users, or third parties.

You retain ownership of your data and your YouTube data. You grant us a limited license to process this data solely to provide and improve the Service for you, as described in our Privacy Policy. You are responsible for ensuring you have the rights necessary to connect your channel and use the Service.

All Content, software, and branding on Vyiral (excluding your own data and YouTube data) are owned by us or our licensors and are protected by intellectual property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for its intended purpose. You may not copy, modify, distribute, or create derivative works from the Service without our permission.

The Service integrates with the third-party services listed below. Your use of the Service also relies on these providers, and your relationship with them is governed by their own terms and policies. We are not responsible for the availability, accuracy, or practices of third-party services.

• Google & YouTube

  Google Sign-In for authentication, and the YouTube Data & Analytics APIs to fetch your channel statistics, video metadata, and analytics on a read-only basis.

The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. Analytics, AI outputs, earnings projections, and monetization estimates are informational only and are not guarantees of future performance, revenue, views, or eligibility for the YouTube Partner Programme. You are solely responsible for decisions made based on the platform.

To the maximum extent permitted by law, Vyiral and its team shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of revenue, data, or goodwill arising from your use of the Service. Our total aggregate liability for any claim relating to the Service shall not exceed the amount you paid to us for the Service in the three (3) months preceding the event giving rise to the claim.

You agree to indemnify and hold harmless Vyiral and its team from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your misuse of the Service, your violation of these Terms, or your violation of any law or third-party rights.

You may stop using Vyiral and delete your account at any time. We may suspend or terminate your access, with or without notice, if you violate these Terms, misuse the Service, or if required by law. Upon termination, your right to use the Service ends, and provisions that by their nature should survive (such as intellectual property, disclaimers, and limitation of liability) will continue to apply.

We continuously improve the Service and may modify, suspend, or discontinue any part of it at any time. We are not liable to you or any third party for any modification, suspension, or discontinuation, though we will make reasonable efforts to notify you of significant changes.

We are not responsible for any failure or delay in performance caused by events beyond our reasonable control, including acts of God, natural disasters, internet or infrastructure outages, changes in third-party APIs, government actions, or labor disputes.

These Terms are governed by the laws of India, without regard to conflict-of-law principles. Subject to applicable law, any disputes arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts located in India. The parties will first attempt to resolve any dispute amicably through good-faith discussions.

In accordance with applicable Indian law, including the Information Technology Act, 2000 and the rules thereunder, complaints regarding the Service may be addressed to our Grievance Officer at grievance@vyiral.com. We will acknowledge and endeavor to resolve complaints within the timelines prescribed under applicable law.

Where you use the Service as a business or enterprise customer and we process personal data on your behalf (for example, personal data relating to your authorized users or connected channels), this section acts as a Data Processing Agreement (“DPA”) and forms part of these Terms. It reflects the parties’ agreement on processing personal data in accordance with India’s Digital Personal Data Protection Act, 2023 (the “DPDP Act”) and other applicable laws. Where we act as a Data Fiduciary for your own account data, our Privacy Policy applies instead.

• Entire agreement — these Terms, together with the Privacy Policy and Refund & Cancellation Policy, constitute the entire agreement between you and us regarding the Service.
• Severability — if any provision is found unenforceable, the remaining provisions will remain in full effect.
• Waiver — our failure to enforce any right or provision is not a waiver of that right or provision.
• Assignment — you may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
• Notices — we may provide notices to you by email or through the Service.

We may update these Terms from time to time. Material changes will be reflected by updating the “Last updated” date and, where appropriate, by notifying you within the app or by email. Continued use of Vyiral after changes take effect constitutes acceptance of the revised Terms.
